Key Responsibilities｜主要职责

Legal & Governance｜法务与公司治理

• Establish and optimize legal procedures, corporate governance, and entity management
• Ensure compliance with local laws and regulations
• Support management with high-quality legal advice

建立并优化法务流程、公司治理及主体管理；确保合规经营，为管理层提供专业法律支持。

Contracts & Risk Management｜合同与风险管理

• Draft, review, negotiate, and manage contracts
• Identify and evaluate legal, compliance, and reputational risks and report to management

负责合同起草、审核与谈判；识别并评估法律及合规风险。

Disputes & Litigation｜争议与诉讼管理

• Manage disputes, claims, and litigation with external counsel when needed

协调处理争议、仲裁及诉讼事务，维护公司利益。

M&A & Integration｜并购与整合

• Provide legal and compliance support throughout M&A and post-merger integration

从法务与合规角度支持并购项目及并购后的整合。

Ethics & Compliance｜合规与道德体系

• Lead ethics and compliance programs (anti-bribery, data privacy, sanctions, competition law, etc.)
• Serve as Privacy Officer and manage compliance investigations

全面负责合规体系建设，包括反腐败、数据隐私、制裁与竞争法等。

Stakeholder & Leadership｜外部沟通与团队领导

• Manage external lawyers and represent the company externally
• Lead and develop the legal and compliance team

管理外部律师资源，对外代表公司，并领导法务合规团队。
