Draft, review and negotiate a wide range of agreements, including clinical trial agreements, service agreements, consulting agreements, vendor contracts and other commercial contracts. Support legal matters arising from China-based R&D activities, research collaborations and external partnerships. Advise internal stakeholders on legal, regulatory and compliance risks as/sociated with business operations and development programs. As/sist with the establishment, implementation and continuous improvement of compliance policies, procedures and internal controls. Support cross-border business activities and coordinate with external counsel in China, the United States and other jurisdictions when necessary. Participate in legal due diligence, strategic projects, financing activities and other corporate initiatives as required. Provide practical, business-oriented legal advice to support the company's continued growth and international expansion. 为公司美国临床开发项目及相关业务运营提供日常法律支持。 起草、审核及谈判各类合同，包括临床试验协议、服务协议、咨询协议、供应商合同及其他商业合同。 为中国研发活动、科研合作项目及外部合作事项提供法律支持。 就公司运营及研发项目涉及的法律、监管及合规风险向内部业务团队提供专业建议。 协助建立、完善并落实公司内部合规制度、政策及流程体系。 支持跨境业务项目开展，并根据需要协调中国、美国及其他司法辖区外部律师事务所的工作。 参与法律尽职调查、融资项目、战略合作及其他公司层面项目。 以业务导向方式提供法律意见，支持公司持续发展及国际化布局。 The Successful Applicant 3-5 years of legal experience gained from a reputable law firm and/or multinational pharmaceutical, healthcare or biotechnology company. Strong academic credentials, preferably with a J.D., LL.M. or equivalent degree from a reputable U.S. law school. Prior experience advising pharmaceutical, biotechnology, healthcare or life sciences clients. Experience within the Life Sciences, Healthcare or Pharmaceutical practice group of a reputable law firm is highly preferred. Excellent English and Mandarin communication skills, with the ability to independently draft, negotiate and review legal documents in English. Strong contract drafting, negotiation and risk as/sessment capabilities. Commercially minded, proactive and able to work effectively in a fast-growing and entrepreneurial environment.
