About Our Client
Our client is a leading domestic TMT company.
*Provide legal advice and support for company's business activities, operations, investment projects and compliance and regulatory matters, this include commercial contracts and M&A
*Advising the company on reporting and compliance requirements under US securities laws and/or regulations (including SEC rules and/or regulations, NASDAQ/NYSE listing rules and/or SOX requirements).
*Active involvement in the company's business, including working with key management, advising on contractual requirements for sales and purchasing
*Active involvement in mergers & acquisitions, joint ventures, restructurings and divestment transactions, including associated financing and security, is expected. This includes conducting due diligence, drafting and reviewing agreements, structuring and negotiating transactions
*Assist in corporate secretarial matters
*Advising on regulatory matters for the Company, including and not limited to understanding the regulatory requirement of MIIT, compliance requirement for project construction and approvals.
*Instruct and manage external counsel on a variety of legal matters
*Lead, manage and develop the team of legal officers
The Successful Applicant
The qualified candidate shall be:
*Sound grounding in the law, especially for corporate and US securities laws matters
*A strong academic track record
*At least 15 years of related working experience
*Prior US securities laws reporting and/or compliance experience is a must. Familiarity with NASDAQ / NYSE listing rules as well as SOX requirements would be a bonus.
*Prior work experience in data centre management, info communications companies, IT industry, mergers & acquisitions or similar transactional experience
*Be a proactive independent worker, a team player, result oriented and strong inter-personal skills and be able to thrive in a fast-paced environment
*Good written and verbal English communication skills are essential, with Mandarin language ability being a strong advantage
